Role Summary
Trauma Recovery CIC has a minimum of 3 Directors who work closely and collaboratively as a team.
Each Director is responsible for contributing to the strategic direction, governance and long-term sustainability of Trauma Recovery CIC, ensuring that the organisation remains focused on its social purpose and community benefit.
As a Director and Person with Significant Control, you will help ensure Trauma Recovery CIC is well governed, financially responsible and remains focused on its values and community benefit purpose.
This is an unpaid director role. The Director is not remunerated for carrying out director duties, although reasonable agreed expenses may be reimbursed in line with organisational policy.
The role requires a commitment to acting in the best interests of Trauma Recovery CIC, supporting effective decision-making, maintaining accountability, and working collaboratively with other Directors to ensure the CIC operates ethically, transparently and in accordance with its community interest objectives.
This Director role is unpaid. Reasonable agreed expenses may be reimbursed in line with Trauma Recovery CIC’s expenses policy.
Any potential conflict of interest, including any paid work, consultancy, employment or connected-person arrangement with Trauma Recovery CIC, must be declared and managed in line with company policy and legal duties.
In addition to the Director role, the Director may hold a senior leadership position. It is important that the Director in this circumstance can maintain appropriate boundaries between governance and day-to-day management.

As a lived experience led organisation, previous Director experience is not essential. We welcome applications from people who can demonstrate relevant skills, values and potential. Training, induction and ongoing support will be provided to help Directors understand their responsibilities and develop confidence in the role.

Overview of responsibilities
Directors must act within their powers, promote the success of Trauma Recovery CIC for its community benefit purpose, exercise reasonable care, skill and diligence, avoid unmanaged conflicts of interest, not accept inappropriate benefits, and declare any interest in proposed or existing arrangements with the company.
Directors are responsible for overseeing organisational risk, including safeguarding, financial, operational, legal, reputational and information governance risks.
Duties of a CIC Director
- Fulfilling the Social Mission: Directors must ensure that Trauma Recovery CIC’s activities align with our stated community or social objectives. This involves regularly reviewing Trauma Recovery CIC’s operations to assess our impact on the community and adjusting as necessary.
- Compliance with Regulations: Directors have a legal obligation to comply with CIC regulations, including filing annual reports and accounts with the relevant authorities. They must also ensure transparency and accountability in all financial transactions.
- Financial Management: Directors are responsible for overseeing the company’s finances, including budgeting, financial planning, and risk management. They must exercise prudence and diligence in managing the company’s resources to achieve its social and financial goals.
- Stakeholder Engagement: Directors should actively engage with stakeholders, including employees, customers, and the wider community, to understand their needs and concerns. Building strong relationships with stakeholders fosters trust and enhances the company’s reputation.
- Strategic Planning: Directors play a central role in developing and implementing Trauma Recovery CIC’s strategic plan. They must assess market trends, identify opportunities for growth, and adapt the company’s strategy to changing circumstances while staying true to its social mission.
- Protect the asset lock and ensuring activities are used to support the CIC’s purpose: Directors should make decisions that are transparent, properly recorded and consistent with the CIC’s governing documents and community benefit commitments.
- Trauma-Informed Leadership: Directors should support a culture that prioritises safety, trust, choice, collaboration, empowerment and inclusion for staff, volunteers, service users and fellow Directors. Directors should consider the potential impact of organisational decisions on people affected by trauma and support policies and practices that promote wellbeing and reduce harm.
- Equality, Diversity and Inclusion: Directors should actively support equality, diversity, inclusion and anti-discriminatory practice across all areas of Trauma Recovery CIC's work. This includes considering the impact of decisions on people with protected characteristics and those who experience barriers to accessing support.
- Collective responsibility: Directors share collective responsibility for decisions made by the Board. Directors are expected to contribute their views openly during discussions and support agreed decisions once they have been made.
- Safeguarding oversight: Ensuring safeguarding arrangements are appropriate, regularly reviewed and effective.
- Reputation and public trust: Acting as a positive ambassador for Trauma Recovery CIC and helping maintain public confidence in the organisation.
- Information governance: Supporting compliance with data protection and confidentiality requirements.
- Board development: Contributing to regular reviews of Board effectiveness, skills and succession planning, taking part in both the board of Directors and Advisory board where appropriate.
