The articles of the Trust require that it be administered by up to 20 Trustees who, between them, form various committees to oversee the buildings, investments, publicity and distribution of grants.
Quorum for the Trust is 5. If less than this number are present at a meeting, the meeting must be rearranged for a future date.
It is the current aim of the Trustees to ensure that appropriate skills are available from within the Trustees to manage efficiently and professionally the assets and organisation of the Trust ensuring that there will be sufficient funds to carry the benefits forward in perpetuity.
Trustees are expected to:-
- Attend the Main Board meeting (Council Meeting) held on the last Wednesday of every month (usually with the exception of August and December), and the committee that they are attached to which would usually meet at least three times a year. All meetings are held on a Wednesday and normally last around an hour. In the event that they are unable to attend a meeting they must send apologies to the Secretary.
- All information for the Council Meetings is sent out electronically in advance of the meetings for Trustees to read over. Occasionally there may be extra work in visiting clubs or groups.
Trustees are responsible for:-
- Showing the utmost integrity and discretion
- Declaring any interest they may have with a group or individual seeking our support
- Contributing to discussions and decision making
- Showing innovation with encouragement of ideas and forward thinking
- Risk Register – it is the responsibility of all Trustees to review the Risk Register formally once a year. All Trustees have a responsibility to consider risk at all meetings and all Trust activities.
- Data Protection – all Trustees have a responsibility for data protection. All documents relating to Grant Aid Applications are confidential and should be treated as such. It is vital that emailed documents are deleted after each meeting. Any that have been printed out must be either returned to the Trust for shredding or destroyed in an approved manner. A confidentiality agreement must be signed by all Trustees as their agreement and understanding of this responsibility.
Term of office – Trustees serve a term of 4 years on the Board. This term can be renewed up to 3 times, serving a maximum of 12 years. At the end of each term, the Trustee will be asked if they wish to renew their term and this will be proposed and voted on at a Council Meeting at the appropriate time. In exceptional circumstances, there may be an extension to the maximum term to avoid a vulnerability in the Trust.
